Epiphany adds customer relationship capabilities, while Boniva brings human capital management solutions to SSA's lineup

Chicago  August 15, 2005  Enterprise software company SSA Global Technologies has continued building its solutions portfolio through acquisition, adding customer relationship management (CRM) specialist Epiphany and Boniva Software, a provider of human capital management applications, to its lineup in recent deals.

The Epiphany deal, announced August 3 and expected at that time to close in approximately eight to twelve weeks, subject to customary closing conditions, had a value of $329 million.

Epiphany provides a suite of CRM products that includes sales, service, marketing and customer analytics. These applications are based on a similar services-oriented architecture and built using the same Java 2 Enterprise Edition (J2EE) technology as the recently released SSA Technology Architecture. SSA said that the combined architecture will provide the flexibility to integrate with existing enterprise applications and to tailor solutions for specific industries.

Epiphany Customers "Not Shocked"

Mike Greenough, chairman, president and CEO of SSA Global, said that SSA would use this deal to beef up its CRM offering, while the acquisition would give Epiphany access to SSA's global channel for distribution in more than 90 countries around the world.

Laura Preslan, an analyst with technology consultancy AMR Research, wrote in a research note on the deal that Epiphany had struggled to attain profitability and to maintain its revenues, which had dropped by more than one-third from 2001 to 2004.

"Epiphany has loyal customers for its marketing analytics tools and real-time interaction products (Interaction Advisor, Insight Advisor, and Lead Advisor), but was unable to break out into sales and service," wrote Preslan, who covers CRM for AMR. She added that Epiphany customers "have known for several months that an acquisition was inevitable and are not shocked by the move."

Boniva Adds HCM Solution

Meanwhile, SSA continued its spending spree with the acquisition of Boniva Software in a deal announced August 8. SSA said that Boniva's talent management portfolio of e-learning, skills management and performance management applications will be integrated into the SSA Human Capital Management (HCM) solution.

"The addition of new, complementary HCM functionality will significantly expand SSA Global's ability to address the growing need among its customers for solutions that support employee recruitment, learning management, assessment and performance planning," SSA wrote in a statement on the acquisition.

As in the Epiphany deal, the Boniva applications are based on a similar services-oriented architecture and built using the same Java 2 Enterprise Edition (J2EE) technology as the recently released SSA Technology Architecture.

Acquisition Streak

"In today's competitive global environment, companies of all sizes view effective human capital management as a key driver to improve overall corporate performance," said Greenough in announcing the deal. "By expanding SSA HCM through this acquisition, SSA Global is able to quickly bring to market the new functionality our customers require."

SSA said that its Human Capital Management solution enables companies to automate core processes such as human resources, benefits and payroll, and also offers capabilities including self-service, analytics and workflow to better connect managers and employees in real time.

Since Greenough took the helm at SSA GT in May 2001, the company has compiled a record of successive acquisitions as it has sought to build its solutions lineup as well as its customer base and revenue numbers. The list of deals that have added new solutions into the SSA GT fold have included:
